Terms of Service

1. Acceptance

By installing or using the CSVwise app (the "Service") you agree to these Terms of Service and our Privacy Policy. CSVwise is operated by Answer 42 Labs LLC ("we," "us").

CSVwise is a business tool. By accepting these terms you represent that you are at least 18 years old and authorized to enter into this agreement on behalf of the merchant and the Shopify store that install the Service.

2. What CSVwise does

CSVwise is a Shopify embedded app that helps merchants prepare product CSV files for import into their Shopify store. The four-stage flow is: upload a CSV, map columns to Shopify's schema (optionally assisted by AI), fix common formatting and data-quality issues, and download an import-ready file. The cleaned CSV is delivered to the merchant; CSVwise does not import it automatically — you choose when to run Shopify's native importer. Because you run the import yourself, you are responsible for reviewing the cleaned file and backing up your products first — see "Disclaimer of warranties."

3. Installation and access

To use CSVwise you must install it via the Shopify App Store and authorize the Shopify scopes the app requests (currently write_products). You can uninstall at any time via your Shopify admin. Uninstallation revokes our access to your shop and starts the 48-hour window after which we hard-delete your CSVwise data (see the Privacy Policy).

Although Shopify labels this permission write_products, CSVwise uses it only to read existing product handle information for the handle-collision check on the Pro and Studio tiers. CSVwise does not create, modify, publish, delete, or import products in your store — the cleaned CSV is delivered to you, and you choose when to run Shopify's native importer yourself.

4. Tiers and pricing

CSVwise is offered in three tiers. Pricing and capabilities are current as of the effective date above; we may change them with at least 30 days' notice to active paid merchants.

• Free. Three cleanups per shop, files up to 1,500 rows, AI column mapping, deterministic auto-fix toolkit. No collision check.
• Pro — $19/month. Unlimited cleanups, files up to 5,000 rows, the same AI column mapping and auto-fix toolkit, plus a live check against your store that flags product handles already in use before import.
• Studio — $49/month. Unlimited cleanups, files up to 50,000 rows, the same toolkit as Pro, sized for catalog migrations and large product files.

Paid tiers are billed through Shopify's billing system. We do not see or store your payment instrument; refunds are processed through Shopify per your store's billing arrangement with them.

5. Cancellation and refunds

You can cancel a paid subscription at any time from the plan-management link in CSVwise or your Shopify admin's billing settings. Cancellation takes effect at the close of the current billing period — your plan stays active through the date you've already paid for, and you aren't billed again. Uninstalling the app also cancels your subscription, but removes CSVwise from your admin immediately.

CSVwise's Free tier (3 cleanups, files up to 1,500 rows) serves as the evaluation period for the paid tiers. Paid tiers (Pro and Studio) do not include a separate free-trial window.

If you're charged for a paid plan (Pro or Studio) and haven't run any cleanups on that plan within 14 days of the charge, email support@csvwise.com with your shop domain and we'll refund that charge in full. Outside that 14-day window, or if you've run cleanups on the plan, refunds are at our discretion — email us with your situation and we'll work with you. We aim to respond within two business days; approved refunds are issued through Shopify's Partner Dashboard back to your original payment method (Shopify App Store requirement 1.1.15).

6. Acceptable use

You agree not to:

• Use CSVwise to process data you do not have permission to process.
• Attempt to circumvent the tier row caps, rate limits, or credit-token gates that govern the Service.
• Resell or sublicense access to your CSVwise installation, or use one installation to clean files for multiple unrelated stores.
• Probe, scan, or test the Service for vulnerabilities without our written permission. Coordinated security disclosure is welcomed at security@csvwise.com.
• Submit content via CSV uploads that is illegal, violates third-party rights, or is intended to interfere with the Service's operation.
• Upload or process files containing payment card data, government identification numbers, health information, children's data, account passwords or authentication credentials, or other sensitive personal information. CSVwise is designed for Shopify product CSV files and does not support these uses unless we expressly agree with you in writing.

7. Your data and content

You retain all rights to the CSV content and product data you process through CSVwise. We claim no ownership of your data. We use your data only as described in the Privacy Policy to deliver the Service.

8. CSVwise intellectual property

The CSVwise application, its source code, design, and brand are owned by Answer 42 Labs LLC. Installing the app grants you a non-exclusive, non-transferable, revocable license to use the Service on the Shopify shops that install it, for the duration of your installation. No other rights are granted.

If you send us feedback, feature requests, or suggestions about the Service, you grant us a perpetual, royalty-free right to use them to improve CSVwise, with no obligation to you.

9. Disclaimer of warranties

CSVwise is provided "as is" and "as available". We do our best to ship a reliable product, but we make no warranties — express or implied — including (without limitation) merchantability, fitness for a particular purpose, accuracy of AI-generated column mappings, non-infringement, or that the Service will be uninterrupted or error-free. Your use of cleaned output is your responsibility; review files before importing into Shopify.

Importing is your responsibility. CSVwise produces a cleaned CSV file and hands it to you; it does not import anything into your store. When you run Shopify's native product importer, Shopify matches rows by product handle and may create, overwrite, or change products in your store, and those changes can be difficult or impossible to reverse. Before importing any CSV file into Shopify — including a file prepared using CSVwise — you are responsible for reviewing the cleaned file and for maintaining a current backup or export of your product data. To the maximum extent permitted by law, we are not responsible for any loss, overwrite, or unintended change to your store that results from importing a file — whether produced by CSVwise or otherwise — into Shopify.

10. Limitation of liability

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law. To the maximum extent permitted by law, Answer 42 Labs LLC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim under these terms will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve months preceding the claim, or (b) USD $100.

11. Indemnification

You agree to indemnify and hold harmless Answer 42 Labs LLC from any third-party claim, demand, or liability (including reasonable legal fees) arising out of the data you process through the Service, your use of the Service in violation of these terms or applicable law, or your infringement of any third party's rights.

Procedure. Our right to indemnification is conditioned on us: (a) promptly notifying you in writing of the claim (a delay reduces your obligation only to the extent you are actually prejudiced by it); (b) giving you sole control of the defense and settlement of the claim, except that you may not settle any claim in a way that imposes any liability, payment, or admission of fault on us without our prior written consent; and (c) reasonably cooperating with you, at your expense, in the defense.

12. Termination

We may suspend or terminate your access if you materially breach these terms, abuse the Service in ways that affect other merchants or our third-party providers (such as Shopify or our AI providers), or fail to pay an outstanding subscription. Where reasonable we will give you notice and an opportunity to cure first. You may terminate at any time by uninstalling.

Provisions that by their nature should survive termination — including "Your data and content," "CSVwise intellectual property," "Disclaimer of warranties," "Limitation of liability," "Indemnification," "Governing law and disputes," and "Miscellaneous," any payment or refund obligations accrued before termination, and any other provision that by its nature should survive — survive termination of these terms.

13. Governing law and disputes

Informal resolution first. Before bringing any formal claim, you agree to contact us at support@csvwise.com with a description of the dispute and to attempt in good faith to resolve it with us for at least 30 days. Most concerns can be resolved this way.

Governing law and forum. These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the mandatory rights and protections that may apply under the laws of your country or state of residence or establishment, the parties agree that any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Oregon, and each party consents to the jurisdiction and venue of those courts.

14. Changes to these terms

If we make material changes we will post the updated terms at this URL, update the effective date, and (for paid merchants) notify you at your registered Shopify email. Continued use after material changes constitutes acceptance.

15. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Answer 42 Labs LLC regarding the Service and supersede any prior understandings.

Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions stay in full effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the business.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
